Retriever Services Terms & Conditions

Upon creation and completion of Retriever account setup, the customer agrees to the following terms and conditions as part of the Retriever Services service:

1. Service agreement

The customer agrees and approves Retriever to monitor their nominated bank account for incoming deposits using the bank feed as provided by SISS Data. The customer agrees to allow Retriever Services to process a direct deposit on their nominated bank account up to three times per week (any day Monday to Friday) at 07:15 am (AEST) or any other time in accordance with their bank and in accordance with the terms and conditions of the Retriever payment processing partner Shabaas Pay -- updated copies can be accessed from the client dashboard at any time.

The direct debit shall be calculated as follows:

• Percentage GST (%) nominated by the client during the onboarding process applied against any deposits received into their nominated bank account since the previous GST processing date.

• Percentage GST (%) nominated by the client during the onboarding process applied against any deposits received into their nominated bank account since the previous processing date to be split into multiple accounts as nominated by the customer.

The customer also acknowledges they can adjust the nominated percentage applied to the direct debit at any time by logging into their Retriever account and adjusting the rate under the Disbursement tab.

The customer agrees to supply to Retriever Services their Australian Taxation Office (ATO) BPAY reference number so funds collected by way of direct debits can be transferred on their behalf directly into their client service account with the ATO.

Deposits excluded from GST processing (direct debits)

The customer can at any time nominate a "deposit cap" whereby they can nominate a threshold amount over which any deposits exceeding the deposit cap will be excluded from GST processing/direct debits.

Subscription Fee

The customer agrees to Retriever Services processing direct debit on their nominated bank account for a subscription fee calculated based on the number of accounts being disbursed to and the frequency which the customer nominates up to three times per week. Subscription rates can be calculated using the subscription calculator available on the Retriever website at: https://retriever.au/pricing/ . All subscription fees include GST.

This direct debit will take place exactly one month from the date of sign-up until otherwise cancelled by the client using one of the methods outlined in Section 3 of these Terms & Conditions. Retriever Services reserves the right to increase the subscription fee upon one month's notice to the client via email to their nominated account email address.

2. Getting help

The customer can get help with their account at any time using one of the following contact methods:

3. Cancellation

The customer can cancel their Retriever account at any time without penalty using one of the following contact methods:

4. Limitation of Liability

To the maximum extent permitted by law, Retriever Services (including its directors, employees, agents and contractors) will not be liable for any loss, damage, cost or expense (including consequential loss, loss of profits, loss of data or business interruption) arising directly or indirectly out of or in connection with:

• the use of, or inability to use, the Retriever Services platform or any related systems;

• any error, delay or interruption in data feeds or payment processing;

• any reliance placed by the customer on the accuracy or timeliness of automated calculations or transactions processed through Retriever; or

• any unauthorised access to, or alteration of, a customer's data or account.

Nothing in these Terms & Conditions excludes, restricts or modifies any guarantee, condition, warranty, right or remedy implied or imposed by the Australian Consumer Law or any other applicable legislation which cannot lawfully be excluded or limited.

Where any law implies a warranty or guarantee into these Terms & Conditions which cannot be excluded, Retriever Services' liability for any breach of such warranty or guarantee shall be limited, at its option, to one or more of the following:

• the resupply of the services; or

• the payment of the cost of having the services resupplied.

5. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts that may hear appeals from those courts in respect of any proceedings in connection with these Terms & Conditions.

6. Severability and Entire Agreement

If any provision of these Terms & Conditions is held to be invalid, unlawful or unenforceable, that provision will be severed to the extent necessary and the remaining provisions will continue to apply with full force and effect.

These Terms & Conditions constitute the entire agreement between the customer and Retriever Services in relation to the services provided and supersede all prior discussions, representations, or agreements, whether oral or written, regarding their subject matter. No variation to these Terms & Conditions will be effective unless agreed in writing by Retriever Services.
